Permitted use
You may browse public content, use free tools, print a reasonable number of pages, and submit genuine service inquiries for yourself or an authorized business. The site grants only a limited, revocable, nonexclusive license for personal or internal business use and transfers no ownership.
Prohibited conduct
Do not attack, probe, or bypass site security, rate limits, sign-in, or access controls; scrape or copy the site in bulk; impersonate another person; submit malicious code; disrupt service; spam forms; automate account creation; or upload personal or sensitive information you are not authorized to provide. Do not use the site for unlawful, fraudulent, or misleading activity.
Free tools and user inputs
Free tools organize facts and questions and do not reach final tax or legal conclusions. You are responsible for input accuracy and for checking current official sources before acting. The tools do not retain their fields, but information separately submitted through an intake form or portal is handled under the Privacy Notice.
Fixed-price services and Stripe payments
The site may list fixed-price services. The ABS service fee shown at order is the service price for the selected item, and payment is usually processed by Stripe. Payment for an order does not mean that a government office has approved a filing, that a third party has accepted an application, or that ABS has agreed to work outside the order page or written scope.
Service scope
The service scope is limited to what is described on the order page, price description, written quote, engagement terms, or later written confirmation. Tax returns, historical catch-up filings, bookkeeping cleanup, sales tax, payroll tax, tax notices, expedited handling, third-party communications, and ongoing compliance are not included unless they are expressly listed.
Government fees and third-party costs
Unless an order expressly says otherwise, ABS service fees exclude state filing fees, IRS or state taxes, penalties, registered-agent charges, expedited fees, mailing fees, platform fees, bank fees, third-party service fees, and charges imposed by government systems. Government fees and third-party costs may change and are controlled by the recipient that charges them.
No outcome guarantees
ABS does not guarantee name availability, state approval, EIN issuance, bank or marketplace onboarding, government processing time, good standing, tax results, penalty relief, refunds, tax savings, or tax-case outcomes. Government agencies and third parties control their own decisions, rules, systems, and timelines.
Account and client responsibility
You are responsible for protecting your email account, verification codes, sessions, and order information. You are also responsible for providing timely, truthful, complete, and authorized information; reviewing open items; and completing signatures, payments, identity checks, platform authorizations, or government-account actions before applicable deadlines. Consequences from incorrect, incomplete, or delayed information are your responsibility.
All purchases are final
Except as expressly stated in the Refund Policy, all purchases are final. ABS does not provide routine refunds after service starts, an order is scheduled, or records are reviewed. Review the service item, state, records, and deadline before paying.
SMS terms
American Business Services Ltd operates an account notification and verification text message program for its clients. Messages cover order confirmations, service progress, filing deadline reminders, and one-time verification codes; this is not a marketing program and no promotional texts are sent under it. You enroll by submitting your mobile number and ticking the consent box at checkout, or by giving the number and consent in a signed engagement document. Consent is never a condition of purchase or of any service. Message frequency varies with your account and filing activity. Message and data rates may apply at your mobile carrier's rates, and ABS is not responsible for those charges. Reply STOP to any message to stop all further messages, or HELP for assistance; you may also email admin@absltd.us or ask us in writing to remove your number. Mobile carriers are not liable for delayed or undelivered messages. Mobile numbers are handled as described in the Privacy Notice and are not shared with third parties or affiliates for marketing purposes.
Liability cap
To the maximum extent permitted by applicable law, ABS's total liability for any claim related to the website, an order, or a purchased service is capped at the ABS service fee actually paid by the client for the specific service giving rise to the claim. ABS is not liable for indirect, incidental, special, punitive, consequential, profit, revenue, goodwill, data, or similar losses.
Governing Law and dispute resolution
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. If a dispute arises, the parties will first attempt good-faith resolution by contacting admin@absltd.us. If the dispute is not resolved, any formal proceeding must be brought in a state or federal court with jurisdiction in Delaware, unless mandatory applicable law requires otherwise.
Content and intellectual property
Site copy, layout, tool logic, brand identifiers, and original materials are protected under applicable intellectual-property rules. You may link to public pages and make limited quotations with attribution, but may not remove identifiers, sell copies, create a confusing imitation site, or repackage tools and content as your own service without permission. Government and third-party materials remain subject to their owners' rights.
Third-party services and site availability
ABS does not control third-party links, marketplaces, banks, government systems, or communications providers. The site may pause or change for maintenance, security, provider failures, or rule changes. ABS may restrict or terminate abusive access to protect users and systems.
Updates and severability
ABS may update these terms and the page date; continued use of the site, account, or order features means acceptance of the update. If one provision cannot be enforced, the others remain effective.
